How do I register a company and how can I launch its shares or should they be launched,whats the process?


I want to open a Software Development Company and I want to know the process to register my company. I want to launch sharess too but have fear of loosing control if someone gets more shares than me. Is my fear true, if yes then how should I proceed? Should I proceed either by registering company and launching shares or by simply registering the comany,in either case whats the process? I also want to know how can I register my company internationally because it may happen in some country any firm may be registered by similar name I choose to register it?

Company registration is a contry specific process and therefore you need to approach the local registrar. To float shares in public, there are lots of legal and/or finacial requirements that you may need to meet. For example, minimum autorized capital, minimum initial numebr of share holders, appointment at specific posts like company secretary, etc. As long as you hold over 50% share you will stay in control of the company. Therefore, you should never dilute your equity below 51%.

My recommendation is to start small - float a private company - focus on business - generate value/profits/customers - and then plan going public.

I don't even know what phase of the company you are in. If you are just starting, the amount of capital you would need to develop and print shares would be phenomenal, and you would not be able to get an investment or holding bank to finance at any early stage, so they would be just open market shares on your Initial Public Offering. With no bank to finance you, you would just lose money. In order for ANY investment bank to float your IPO or even part of it, you would need to already have strong business ties, a good solid customer base, and a substantial investment in this company yourself... otherwise look for private investment. At this stage, since you are asking on Yahoo! and not asking your banker or staff accountant, I would say look for private investment first; loans and grants.
