Need HELP!!! a comparitive analysis on accounting procedures for proprietorship and pvt ltd company??

I have been trying to get some inputs and resource on this. if anyone can help me out with some inputs... would be of great help.... was unable to find the information in the search engines...

Fine.. let me make it more clear..! One of my client is running a business on proprietorship basis. He is in Software development for a company in US. He is planning to convert his business as a Private Limited Company. Now he wishes to analyze and needs a comparitive analysis on accounting procedures and statutory obligations in the day - to day activities of the business. Hope this would help me in getting an answer!
