How to start a software company in chennai or bangalore...need a consulting?

There are no legal restrictions for doing software business in India. All you need is some legal business entity (for example a Pvt Ltd company) to be formed. You may also require your firm to be registered in Service Tax if you are going to do business within India. If you want to be into software exports, I will suggest that you get your company registered in some STP (Software Technology Park).
