Where should legal representation be licensed for a Florida Corporation operating a web service?

Florida corporation which will be operating a web service is looking for legal representation. Representation will initially create the basic legalities for the website, such as legal disclosure and such. From that point we would like to depend on the representation for further support of our corporation, if the need arises. Should the attorney be licensed in the State of Florida? What is the best direction to take regarding thise type of business matter?

If you are a Fla. Corp. and/or doing business in Fla. you'd probably do best with a Fla. attorney.

In most states, in-house counsel for a corporation can be licensed in any jurisdiction because they are only providing general legal advise. However, if they will actually have to represent the entity in actual court proceedings, they will require licensure in Florida.

I would recommend a Florida-licensed attorney, but also look for someone who has experience in federal courts.

Under a doctrine called Diversity Jurisdiction, if you are ever sued by an out-of-stater, it will likely happen in a federal court.
